We are seeking a highly skilled and motivated Corporate Attorney to join our dynamic and growing law firm. The ideal candidate will have experience advising corporate clients on a wide range of legal matters, including business transactions, M&A, corporate governance, regulatory compliance, and contract negotiation. This role requires strong analytical skills, attention to detail, and a proactive approach to managing client needs.
Key Responsibilities
• Advise clients on legal issues related to corporate structures, business formation, and entity governance
• Draft, review, and negotiate complex commercial contracts including vendor agreements, NDAs, partnership agreements, and licensing deals
• Support M&A transactions, including due diligence, structuring, drafting, and closing processes
• Provide counsel on regulatory compliance, risk mitigation, and strategic business planning
• Represent clients in corporate disputes, arbitrations, or pre-litigation matters as needed
• Stay updated on legal and regulatory changes impacting corporate clients and advise accordingly
• Collaborate with internal legal teams, paralegals, and support staff to ensure high-quality service
delivery
• Develop and maintain strong relationships with clients, fostering trust and long-term
partnerships
Qualifications
• Juris Doctor (JD) from an accredited law school
• Active member in good standing with [State] Bar
• 3–7 years of experience in corporate or business law, preferably in a corporate setting
• Strong background in contract law, corporate governance, and transactional work
• M&A or venture capital experience a plus
• Excellent research, writing, and oral communication skills
• Ability to manage multiple clients and projects with competing deadlines
• High level of professionalism and ethical standards
